A Form D is a form filed with the Securities Exchange Commission (SEC) to provide notice of an exempt offering of securities. SEC rules require any company that plans to offer securities that are not registered via. either a Regulation A or S-1 Registration statement to file a Form D of the planned offering.

The Dodd-Frank legislation now requires companies to file a Form D prior to the 1st sale of the securities. This includes offerings od debt, equity, and hybrid instruments, as well as limited partnership interests.

Companies that are offering based upon either Rule 504, 505, or 506 of Regulation D, or Section 4(6) are required to file a Form D.
